(1) Mr. Cox has entered into an undertaking to make available up to 6,607,183 of his Common Shares for lending to the initial holder of the convertible senior secured debentures of AMR (the "Holder") and its affiliates to facilitate short selling transactions. This undertaking was made at the request of the Holder and as a condition to its agreement to purchase all of the Company's convertible senior secured debentures to finance, in part, the AMR-Magnequench combination. The number of Mr. Cox's Common Shares subject to the lending arrangement will reduce to 50% of the above amount on August 31, 2008, and the arrangement will terminate when the convertible senior secured debentures are paid or converted to Common Shares. Mr. Cox has agreed not to sell any of the Common Shares subject to the arrangement while it is in effect. Mr. Cox will receive no compensation from the Company for entering into this undertaking. He will receive a modest lending fee from the broker facilitating the lending arrangement in respect of any shares actually lent. During the term of any loan, the facilitating broker has agreed to use its best efforts to substitute Common Shares borrowed from sources other than Mr. Cox on any record date relating to a vote of Common Shares, with a view to returning any shares loaned by Mr. Cox to him to permit him to vote such shares. As of the date hereof, none of the Common Shares held by Mr. Cox have been lent pursuant to the
